Terms of Service
Effective date: October 27, 2026
Last updated: October 27, 2026
1. Agreement to these Terms
These Terms of Service ("Terms") are a binding agreement between you and EWMsolutions, LLC, doing business as Headed Out Local ("Headed Out Local," "we," "us," or "our"). They govern your use of the Headed Out Local mobile app, website, and related services (the "Service"). Our Privacy Policy explains how we handle your information and is part of these Terms.
By checking the box at signup, creating an account, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
IMPORTANT: Section 23 contains a binding arbitration agreement and class action waiver that affect your legal rights. You may opt out as described in Section 23.
2. Eligibility
To use the Service, you must:
- Be at least 18 years old.
- Reside in the United States and access the Service from within the United States.
- Be able to form a binding contract.
- Not have been previously removed from the Service by us.
The Service is intended for adults only. It is not directed to anyone under 18, and we do not knowingly allow anyone under 18 to create an account. If we learn or reasonably believe that a user is under 18, we will suspend the account and delete the associated personal information as described in our Privacy Policy. If you believe someone under 18 is using the Service, contact us at info@headedoutlocal.com.
The Service is offered only in the United States. We make no claim that it is appropriate or lawful for use elsewhere. If you access it from outside the United States, you do so at your own risk.
3. Your account
You must provide accurate information when you create an account and keep it current. You are responsible for keeping your login credentials secure and for all activity under your account. Notify us promptly at info@headedoutlocal.com if you suspect unauthorized use.
You may not create an account for anyone else, impersonate another person, or transfer your account to someone else.
You may delete your account at any time from within the app under its account settings.
4. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you in the app or by email before the changes take effect. Your continued use of the Service after the effective date of updated Terms means you accept them. If you do not agree, stop using the Service and delete your account.
5. What the Service is
Headed Out Local is a platform for discovering events. Businesses and organizations ("Hosts") publish event listings, and businesses publish advertisements ("Advertisers"). Users browse events in areas they choose.
We provide a place for Hosts and Advertisers to publish information. We do not organize, host, sponsor, operate, supervise, or control any event, and we do not sell tickets.
6. No affiliation with events or advertisers
Unless we expressly state otherwise in writing, we are not affiliated with, associated with, or endorsing any Host, event, Advertiser, product, or service shown on the Service. Specifically:
- Hosts are responsible for their events. This includes the event's accuracy, safety, legality, permits, staffing, age restrictions (such as 21+ for alcohol), accessibility, cancellations, refunds, and conduct of attendees.
- We do not verify event details. Dates, times, locations, prices, and descriptions may be inaccurate, out of date, or changed without notice. Confirm details directly with the Host before attending.
- Attendance is at your own risk. Your decision to attend any event, and anything that happens at or in connection with it, is solely between you and the Host and other attendees.
- Transactions happen elsewhere. Ticket purchases, registrations, and payments for events occur outside the Service, under the Host's or a third party's terms.
- Ads are third-party content. Ads are labeled "Sponsored." Advertisers are solely responsible for their ads and for the products and services they offer. Any dealings you have with an Advertiser are solely between you and that Advertiser.
To the fullest extent permitted by law, we are not responsible or liable for any injury, loss, damage, dispute, or claim arising from any event, Host, Advertiser, or other user.
7. Our review and removal rights
We review event listings and ads before they appear on the Service. Our review checks whether content fits our platform and these Terms. It is not a verification of accuracy, safety, quality, or legality, and it is not an endorsement.
We may decline, remove, edit for formatting, or limit the visibility of any event, ad, profile, or other content, and suspend or terminate any account, at any time and at our sole discretion. This includes content we consider objectionable, inconsistent with our Community Guidelines, or otherwise inappropriate for the Service, whether or not it is lawful. We are not obligated to explain our decisions, although we may choose to.
8. Profiles, following, and "Going" visibility
Your profile is public by default. You may make it private at any time in your privacy settings.
While your profile is public, you understand and agree that:
- Other users can see your profile and request to follow you. You decide who is allowed to follow you.
- When you mark an event as "Going", your followers can see that you plan to attend, including the event's name, date, time, and location. If you share an event with your followers, they may be notified about it.
- This may let others know where you intend to be at a particular time. Consider your personal safety before making your profile public or sharing your plans.
You can make your profile private, remove followers, or block users at any time. Changes apply going forward; we cannot recall information other users have already seen.
Use caution when meeting anyone you know only through the Service. We do not run background checks on users, Hosts, or Advertisers.
9. Acceptable use
You agree not to:
- Use the Service if you are under 18 or outside the United States.
- Harass, stalk, threaten, or intimidate anyone, including by using event attendance information.
- Post false, misleading, or fraudulent content, including fake events.
- Impersonate any person, business, or organization.
- Infringe anyone's intellectual property, privacy, or publicity rights.
- Scrape, crawl, or collect data from the Service by automated means, or attempt to access accounts or systems you are not authorized to use.
- Interfere with, disrupt, reverse engineer, or overload the Service.
- Use the Service for any unlawful purpose or in violation of these Terms.
10. Community Guidelines
Our Community Guidelines are part of these Terms and describe the content we allow. In summary:
- No events or ads targeted to children. Family-friendly and kid-friendly events and ads are welcome, but they must be directed to parents, guardians, and adults who decide whether the event is right for their family. They may not be designed to appeal directly to minors or to encourage minors to use the Service.
- No content that is unlawful, hateful, sexually explicit, violent, or that promotes dangerous activities.
- No events or ads for illegal goods or services, or that violate applicable alcohol, tobacco, cannabis, gambling, or firearms laws.
- No spam, misleading claims, or bait-and-switch listings.
You can report content or users through the in-app Report option or at info@headedoutlocal.com. If you believe content on the Service is defamatory, violates your privacy or publicity rights, or infringes your intellectual property, report it the same way and tell us which content is involved and why. We review reports promptly and may limit or remove content while we investigate.
Business and Advertiser Terms (Sections 11 to 15)
These sections apply in addition to the rest of these Terms when you create or manage a business or organization account, publish events, or buy ads.
11. Authority to represent a business or organization
By creating or managing a business or organization account, you represent and warrant that:
- You are authorized to act on behalf of that business or organization and to bind it to these Terms.
- You have authority to create, publish, and manage events and ads for it online.
- The business or organization is a real, lawfully operating entity, and the information you provide about it is accurate.
"You" in Sections 11 to 15 means both you individually and the business or organization you represent. If you lack this authority, you are personally responsible for complying with these Terms. We may ask for proof of authority at any time and may suspend the account until we receive it.
12. Your listings and ads
You are solely responsible for every event listing and ad published for your account, whether you enter it yourself or we create it from sources you authorize under Section 13. You represent and warrant that each listing and ad:
- Is accurate and not misleading, and you will promptly update or remove it if details change or the event is canceled.
- Complies with all applicable laws, including consumer protection, advertising, licensing, permit, alcohol, accessibility, and age-restriction laws.
- Complies with our Community Guidelines, including the rule that events and ads must not target children (Section 10).
- Does not infringe anyone's copyright, trademark, privacy, or publicity rights. You own or have permission to use every image, logo, and piece of text in it.
You are solely responsible for operating your events, including attendee safety, insurance, permits, refunds, and the conduct of your staff and attendees.
13. Event source monitoring authorization
If you choose our event loading service, you authorize us and our service providers to access, monitor, and copy event information from the websites, social media pages, and other sources you designate ("Authorized Sources"). We may use automated tools and human reviewers to identify and extract event details and create listings for you.
You represent and warrant that you own or control each Authorized Source, or have permission to authorize this monitoring. You agree that:
- Listings we create from Authorized Sources are your content, and you remain responsible for their accuracy.
- Automated extraction may produce errors. You will review listings for your account and correct or remove any that are inaccurate. You can do this at any time in your business account.
- You may add or remove Authorized Sources at any time. Removing a source stops future monitoring of it.
14. License to your content
You grant us a non-exclusive, royalty-free, worldwide, sublicensable license to host, store, reproduce, display, format, distribute, and promote your listings, ads, logos, and related content, in connection with operating and marketing the Service. This license ends when you remove the content or close your account, except for copies retained as required by law or in routine backups, and content already shared by users.
15. Fees, billing, and ads
- Fees. Creating and posting events yourself is free. Fees for our event re-posting and monitoring service and for ads are shown at purchase and in your business account. Monitoring fees may vary based on how often your Authorized Sources post events. Fees are in U.S. dollars and exclude taxes, which you are responsible for.
- Recurring subscriptions. Subscriptions renew automatically at the end of each billing period at the then-current price until you cancel. You can cancel at any time in your business account; cancellation takes effect at the end of the current billing period. We will notify you before any price increase takes effect.
- Refunds. We refund billing errors and duplicate charges in full. If we decline an ad or a re-posting order during review, before it runs, we refund it in full. You may cancel an ad that has not started running for a full refund; once an ad starts running, it is non-refundable. Subscriptions for event re-posting and monitoring can be canceled at any time and continue through the end of the paid billing period, but partial periods are not refunded. Fees are not refunded for content we remove for violating these Terms. To request a refund, email info@headedoutlocal.com within 30 days of the charge.
- No guaranteed results. We do not guarantee any number of views, impressions, clicks, followers, attendees, or sales.
- Ad placement. We control the placement, timing, and format of ads, and all ads are labeled "Sponsored."
- Where purchases are made. Ads and event re-posting subscriptions are purchased only through our website, headedoutlocal.com, and processed by Stripe. Nothing is sold through the Apple App Store or Google Play.
16. Our intellectual property
The Service, including its software, design, map and region-drawing features, logos, and the Headed Out Local name, is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the app for personal, non-commercial purposes (or, for business accounts, to manage your listings and ads) in accordance with these Terms. We reserve all rights not expressly granted.
If you send us feedback or suggestions, we may use them without obligation to you.
17. Copyright complaints (DMCA)
We respect intellectual property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act. If you believe content on the Service infringes your copyright, send a notice to our designated agent that includes:
- Your physical or electronic signature.
- Identification of the copyrighted work you claim is infringed.
- Identification of the infringing material and where it appears on the Service.
- Your contact information.
- A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
Designated agent: Copyright Agent, EWMsolutions, LLC d/b/a Headed Out Local, 549 Hickory Hollow Dr., Washington, MO 63090, info@headedoutlocal.com
We may remove allegedly infringing content and will terminate the accounts of repeat infringers in appropriate circumstances. If your content was removed and you believe it was a mistake, you may send a counter-notice as provided by the DMCA.
18. App stores
If you downloaded the app from the Apple App Store or Google Play, you acknowledge that these Terms are between you and us only, not Apple or Google. Apple and Google are not responsible for the app or its content, have no obligation to provide maintenance or support, and are not responsible for any claims relating to the app. To the extent permitted by law, Apple's only obligation in the event the app fails to conform to any warranty is to refund the purchase price, if any. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties.
19. Notifications and communications
You agree that we may communicate with you electronically, including by email, in-app messages, and push notifications, and that these communications satisfy any legal requirement that communications be in writing.
Push notifications are optional. You can turn them on or off in your device settings or in the app's notification settings. We will still send you account and legal notices, such as security alerts and changes to these Terms.
20. Disclaimer of warranties
THE SERVICE, AND ALL EVENTS, ADS, AND CONTENT ON IT, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY EVENT WILL OCCUR AS LISTED. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
21. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
- WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL.
- WE WILL NOT BE LIABLE FOR ANY PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER LOSS ARISING FROM ANY EVENT, HOST, ADVERTISER, OR THE CONDUCT OF ANY USER OR THIRD PARTY, ONLINE OR OFFLINE.
- OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
These limits apply to any theory of liability, even if we were advised of the possibility of the damages. They do not limit liability that cannot be limited under applicable law, such as liability for our gross negligence or willful misconduct.
22. Indemnification
You agree to defend, indemnify, and hold harmless EWMsolutions, LLC and its owners, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: your use of the Service; your content; your violation of these Terms or any law; and, for Hosts and Advertisers, your events, ads, products, services, and Authorized Sources.
23. Dispute resolution and arbitration
Informal resolution first. Before filing a claim, you agree to contact us at info@headedoutlocal.com and try to resolve the dispute informally for at least 30 days.
Binding arbitration. Any dispute that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or Commercial Rules for business accounts). The arbitration will take place in Franklin County, Missouri, or remotely, and the Federal Arbitration Act governs this section.
Class action waiver. You and we may bring claims only in an individual capacity, not as a plaintiff or class member in any class, collective, or representative proceeding.
Exceptions. Either party may bring an individual claim in small claims court, or seek injunctive relief in court for intellectual property infringement or misuse of the Service.
Opt out. You may opt out of this arbitration agreement by emailing info@headedoutlocal.com within 30 days of first accepting these Terms, with your name, account email, and a clear statement that you opt out.
24. Governing law and venue
These Terms are governed by the laws of the State of Missouri and applicable U.S. federal law, without regard to conflict-of-law rules. For any dispute not subject to arbitration, you agree to the exclusive jurisdiction of the state and federal courts located in Franklin County, Missouri.
25. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Terms or suspected underage use. Sections that by their nature should survive termination will survive, including Sections 6, 12 to 14, 16, and 20 to 26.
26. General
- Entire agreement. These Terms, the Privacy Policy, and the Community Guidelines are the entire agreement between you and us about the Service.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
